Please read these Terms and Conditions carefully before using this website or placing an order. They govern your access to the site and all purchases from Liquid Nicotine Wholesalers, LLC (“LNW,” “we,” “us,” or “our”). By accessing the site, registering an account, or placing an order, you agree to these terms. If you do not agree, do not use this site.

1. Acceptance and authority

These terms form a binding agreement between LNW and your business. The person accepting them represents that they are at least 21 years old and are authorized to enter into this agreement on behalf of the business placing the order.

2. Eligibility: business and reseller customers only

Our products, including bulk nicotine, are sold only to businesses, manufacturers, and resellers purchasing for manufacturing, processing, or resale. They are not sold for personal use or consumption. By ordering, you represent that: you are a validly formed business; the individual placing the order is at least 21 years old and authorized to act for the business; you hold all licenses, permits, and registrations required to purchase, handle, and resell nicotine products in your jurisdiction; and you will provide a valid business shipping address. We may request documentation such as a business license, resale or tax-exemption certificate, or government-issued identification, and we may refuse or cancel any order if it is not provided.

3. Products, intended use, and no medical claims

Bulk nicotine (USP) and related items are raw materials sold as ingredients for use in manufacturing by qualified businesses. They are not finished consumer products and are not intended for use in the form sold. Our products are not smoking-cessation aids and are not intended to diagnose, treat, cure, or prevent any disease. These statements have not been evaluated by the FDA. Nicotine is an FDA-regulated substance, and you are responsible for all FDA and other regulatory obligations that apply to any finished products you make. 4. Orders and acceptance

Your order is an offer to purchase. A contract is formed only when we accept the order or ship the product. We may refuse or cancel any order at our discretion, including for suspected fraud, ineligibility, unavailability, or pricing errors. Written quotations are valid for the period stated on the quotation.

5. Pricing and typographical errors

In the event a product is mistakenly listed at an incorrect price, we reserve the right to refuse or cancel any order placed at the incorrect price, whether or not the order has been confirmed and payment charged. If payment has already been taken and the order is canceled, we will issue a refund in the amount charged. Prices are subject to change without notice. For bulk quantities, the amount shipped may vary slightly from the amount ordered, with the price adjusted accordingly.

6. Payment

Payment in advance is our standard, by accepted card, wire, or ACH, before shipment. Approved accounts may be offered net terms at our discretion, on the terms we state in writing. Past-due balances accrue a late charge at the maximum rate permitted by applicable law. We may revoke credit terms, require prepayment, or apply payments and offsets as we see fit. To reduce fraud, payment must come from the buyer’s own business account; we do not accept third-party payments and may decline certain payment methods.

7. Taxes, duties, and exemptions

Prices do not include sales, use, excise, or other taxes, or duties, all of which are your responsibility. If you claim a tax exemption, you must provide a valid resale or exemption certificate before or at the time of purchase. You are liable for any taxes, penalties, or interest resulting from an invalid or expired certificate.

8. Shipping and delivery

We ship orders as promptly as we reasonably can. Shipping and delivery dates are estimates and are not guaranteed, and we are not liable for carrier delays. Nicotine shipments require delivery to a business address and an adult signature (21 or older) at delivery; you are responsible for ensuring an authorized adult is available to receive the shipment. You must inspect all shipments on receipt and report any damage, shortage, or nonconforming goods to us promptly, or the shipment is deemed accepted. All shipments are also subject to Section 11.

9. Returns, refunds, and cancellations

Because these are regulated, hazardous chemical products, returns are limited. You must request a return authorization before sending anything back, within the time period we specify; unauthorized returns will not be accepted or credited. Opened, altered, or used product, and product that cannot be resold for safety or regulatory reasons, is non-returnable. A restocking fee may apply to authorized returns. Orders may be canceled only before a tracking number has been assigned. Approved refunds are issued to the original payment method.

10. Safe handling and assumption of risk

You acknowledge that nicotine is a hazardous, toxic, and highly addictive chemical that is especially dangerous in concentrated form, and that you are purchasing it in concentrated form. You agree to review and follow the applicable Safety Data Sheet (SDS), use appropriate personal protective equipment, train your personnel, store the product securely and away from children, pets, and food, and comply with all applicable handling, storage, transport, and disposal laws and standards, including OSHA, EPA, and DOT requirements. You assume all risk arising from your receipt, handling, use, further processing, and resale of the product, and you are solely responsible for your finished products and your own customers.

11. Regulatory compliance and the PACT Act

Both parties agree to comply with all applicable laws, including the federal minimum age of 21 (Tobacco 21), the PACT Act, FDA tobacco-product regulations, and all state and local nicotine, licensing, tax, and reporting laws. You represent that you hold all required registrations and licenses, that you will verify that your own customers are of legal age, that you will not sell or divert product to minors, and that you are responsible for all downstream compliance once the product leaves us, including any PACT Act registration and reporting, state excise obligations, premarket authorization (PMTA) for finished products, and flavor or ingredient restrictions. You will not resell or export the product in violation of any law, and export compliance is your responsibility.

12. Warranties and disclaimer

We warrant that, at delivery, the product conforms to the description on its certificate of analysis or specification and is free of liens. Where transferable, we pass through applicable manufacturer warranties. You are responsible for confirming the product is suitable for your intended use. Except as stated in this section, the product, the site, and all materials are provided “as is,” and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components. Some states do not permit certain limitations, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, LNW will not be liable for any special, incidental, indirect, or consequential damages arising from the use of, or inability to use, the products or the site, even if advised of the possibility. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless LNW and its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising from your breach of these terms; your handling, use, processing, storage, or resale of the product; your finished products and downstream sales; your violation of any law; or any negligent or wrongful conduct by you or anyone using your account.

15. Intellectual property

All content on this site, including text, graphics, and code, is copyrighted as a collective work under U.S. and other copyright laws and is the property of Liquid Nicotine Wholesalers, LLC. You are granted a limited right to view and print portions of the site solely to place an order with us. Any other use, including reproduction, distribution, display, or transmission, is prohibited without our authorization, and you agree not to remove any proprietary notices.

16. Acceptable use of the site

Harassment in any form, obscene or abusive language, and impersonation of others, including LNW staff or other users, are prohibited. You may not upload or distribute content that is unlawful, defamatory, obscene, threatening, infringing, or otherwise objectionable, and you may not use the site to solicit others for other commercial services. LNW does not review all user communications and acts only as a passive conduit, but we reserve the right to remove content that is abusive, fraudulent, infringing, or otherwise unacceptable at our discretion.

17. Third-party links

The site may link to third-party sites for your convenience. We do not control those sites, which have their own privacy and data practices, and you access them at your own risk.

18. Electronic communications and notices

You consent to receive communications and notices from us electronically, by email or by posting to the site, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. We may send notices to the address you provide.

19. Changes to these terms

We may update these terms at any time. Changes take effect when posted, and your continued use of the site or placing of orders means you accept the revised terms.

20. Term and termination

These terms apply from the time you access the site or begin the registration or ordering process. We may terminate these terms, or suspend or close your account, at any time and for any reason, with or without notice. Sections that by their nature should survive, including Sections 10 through 15, 21, and 23, survive termination.

21. Dispute resolution, binding arbitration, and class-action waiver

These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, and not by the 1980 U.N. Convention on Contracts for the International Sale of Goods. Any dispute arising out of or relating to these terms or your use of the site or products will be resolved by binding individual arbitration administered by the American Arbitration Association under its commercial rules, seated in Maricopa County, Arizona. You and LNW waive the right to a jury trial and the right to participate in a class or representative action. Either party may still bring an individual claim in small-claims court. You may opt out of this arbitration agreement by sending us written notice within 30 days of first accepting these terms; if you opt out, disputes will be resolved in the state or federal courts located in Maricopa County, Arizona.

22. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including supply shortages, carrier disruptions, natural disasters, labor issues, or changes in law.

23. Miscellaneous

We may assign these terms; you may not assign them without our written consent. If any provision is found unenforceable, the rest remain in effect. These terms are the entire agreement between us regarding their subject matter. Our failure to enforce any provision is not a waiver, and no course of dealing or trade practice modifies these terms.
